1. Acceptance and Eligibility

By accessing or using the site, you confirm that you are at least 18 years old and that you have the authority to agree to these terms on your own behalf or for the organization you represent.

2. Accounts

2.1 You are responsible for your login credentials and for all activity that occurs under your account. Notify us right away if you suspect unauthorized access.
2.2 We are not liable for loss or damage that results from your failure to safeguard your account.

3. Access and License

3.1 We grant a limited, revocable, nonexclusive, and nontransferable license to access and use the site for personal and non-commercial purposes.
3.2 Restrictions
a You will not sell, rent, lease, assign, distribute, host, or otherwise commercially exploit the site
b You will not modify, make derivative works, disassemble, decompile, or reverse engineer any part of the site
c You will not use the site to build a competing product or service

All proprietary notices must remain intact on permitted copies.

4. Acceptable Use and User Content

4.1 You will not upload, post, transmit, display, or distribute content that
i. violate any intellectual property, privacy, or other rights
ii. is unlawful, harassing, abusive, threatening, harmful, defamatory, false, misleading, obscene, or otherwise objectionable
iii. targets or harms minors
iv. violates any law or obligation
4.2 You will not
i upload malware or code that could harm systems or data
ii send unsolicited promotions, spam, chain letters, or pyramid schemes
iii collect data about users without consent
iv interfere with or burden the site or its networks
v attempt to gain unauthorized access
vi harass or interfere with other users
vii use automated agents, bots, or scripts to create accounts or send automated requests
4.3 We may review user content and take action at our discretion, including removal of content, suspension or termination of accounts, and referral to law enforcement when appropriate.
4.4 Feedback that you provide may be used by us without restriction. We will treat feedback as nonconfidential and nonproprietary.

5. Third Party Links, Ads, and Other Users

5.1 The site may link to third-party websites or display third-party content or ads. We do not control or endorse third-party sites or materials. Your use of them is at your own risk and is governed by their terms and policies.
5.2 Each user is solely responsible for their own content. We are not liable for interactions between users.
5.3 You release Automation Strategy Group and our officers, employees, agents, successors, and assigns from claims and disputes that arise from or relate to the site or interactions with other users. If you live in California, you waive Section 1542 of the California Civil Code, which states that a general release does not extend to claims that the releasing party does not know or suspect to exist in their favor at the time of executing the release.

6. Disclaimers

The site and all content are provided as is and as available. We and our suppliers disclaim all warranties to the fullest extent permitted by law, including merchantability, fitness for a particular purpose, accuracy, title, quiet enjoyment, and noninfringement. We do not warrant that the site will meet your needs, be uninterrupted, timely, secure, error-free, or free from harmful code. If any warranty is required by law, its duration is limited to ninety days from first use. Some jurisdictions do not allow the exclusion of implied warranties or limitations on duration, so these limits may not apply to you.

7. Limitation of Liability

To the maximum extent permitted by law, we and our suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or costs of substitute goods or services, arising out of or related to your use of the site or these terms. Your access to and use of the site is at your own risk. Our total liability for all claims related to these terms will not exceed fifty US dollars. Some jurisdictions do not allow limits on certain damages, so these limits may not apply to you.

8. Term and Termination

We may suspend or terminate your rights to use the site at any time and for any reason, including violation of these terms. Upon termination, your right to access the site ends, and your account may be deleted from live systems. Sections that by their nature should survive will continue in effect, including ownership, disclaimers, limitation of liability, dispute resolution, and general terms.

9. Copyright Policy

We respect the intellectual property rights of others. We remove infringing materials and may terminate repeat infringers. To request removal under the Digital Millennium Copyright Act, send a written notice that includes
your physical or electronic signature
identification of the copyrighted work you claim was infringed
identification of the material to be removed and enough information to locate it
your contact information, including address, phone, and email
a statement of good faith belief that the use is not authorized by the copyright owner, its agent, or the law
a statement that the information in the notice is accurate and that you are the owner or authorized to act for the owner under penalty of perjury
Misrepresentations in a notice may expose the complaining party to liability under 17 U S C section 512f.

10. Dispute Resolution and Arbitration

10.1 Informal resolution
Before either party starts arbitration, the party must send a written notice of dispute that describes the claim and requested relief. After receipt, both parties will try to resolve the dispute informally within thirty days.
10.2 Mandatory binding arbitration and waiver of class actions
All claims and disputes that cannot be resolved informally or in small claims court will be resolved by binding arbitration on an individual basis. The arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules. If the AAA is unavailable, the parties will select another reputable provider. A single neutral arbitrator will conduct the proceeding. Any hearing will take place in a location within one hundred miles of your residence unless you live outside the United States, in which case, reasonable notice of a virtual or in-person hearing will be given. The arbitrator may award the same relief that a court could award on an individual basis. The award is final and may be entered in any court with jurisdiction. Each party bears its own costs, subject to the forum rules. You and Automation Strategy Group waive the right to a jury trial and waive the right to participate in a class or consolidated action.
10.3 Emergency equitable relief
Either party may seek temporary or emergency equitable relief in court to preserve the status quo pending arbitration.
10.4 Claims excluded from arbitration
Claims for defamation, violation of the Computer Fraud and Abuse Act, or infringement or misappropriation of patents, copyrights, trademarks, or trade secrets are not subject to this arbitration agreement.
10.5 Governing law and forum
These terms are governed by the laws of the State of Delaware without regard to conflict of laws rules. Where a court proceeding is permitted, the parties submit to the personal jurisdiction of state and federal courts located in Delaware.

11. Export Controls

The site may be subject to United States export control and sanctions laws. You agree not to export or re-export any technical data or products in violation of those laws.

12. Electronic Communications

You consent to receive communications from us in electronic form. All terms, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications would satisfy if provided in a physical writing.

13. Entire Agreement and Assignment

These terms are the entire agreement between you and Automation Strategy Group regarding the site. Our failure to enforce a provision is not a waiver. If any provision is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to be enforceable. You are an independent contractor and not a partner or agent. You may not assign or transfer these terms without our written consent. We may assign these terms without restriction. Headings are for convenience only.
